Article I:  Name

The name of this organization shall be the Kentucky Society of the Archaeological Institute of America.

Article II:  Goals

The goals of this Society shall be the encouragement of individual interest in the record of the past, the support of scholarly activity in archaeology, and productive cooperation with local, regional, national, and international organizations whose aims harmonize with ours.  The Society will try to provide a common meeting-ground where scholars, students, and the interested public may mingle for pleasure and profit.

Article III:  Membership

The membership shall consist of:

A.  Persons who are members in good standing of the Archaeological Institute of America and who wish to affiliate with the Kentucky Society.

B.  The spouses of national members of the Archaeological Institute of America.

Article IV:  Administration

Because the Kentucky Society encompasses the whole state, the central administration shall alternate between Lexington and Louisville at three-year intervals.  Normally, the President, Second Vice-President, General Secretary, and Treasurer shall be from the same geographical area (i.e., Louisville or Lexington) and the First Vice-President and Associate Secretary from the other.

A.  Officers

1.  President - The President shall be the executive officer of the Society.  He/she shall call and preside at meetings and shall serve as an ex-officio member of any standing committee.

2.  First-Vice President - The First Vice-President shall call and preside at meetings which are held in the alternate city.  He/She shall also serve as a member of any committees which are deemed necessary for the function of the Kentucky Society in his/her region.

3.  Second-Vice President - The Second-Vice President shall serve as President in the absence or incapacity of the President and shall perform such other functions as the President shall determine.

4.  General Secretary - The General Secretary shall conduct the correspondence of the Society, keep the minutes of business meetings held in his/her region, take charge of the Society's records, and co-ordinate the lecture program.  He/She shall also serve as liaison between the Society and the Archaeological Institute of America.

5.  Associate Secretary - The Associate Secretary shall keep the minutes of business meetings in his/her region, shall forward the minutes to the General Secretary, and shall co-ordinate the activities in his/her region.

6.  Treasurer - The Treasurer shall have custody of the funds of the Society, shall maintain the financial records, and shall report to the Executive Committee and to the Society at the Annual Meeting.

B.  Conditions of office

1.  All officers must be members of the national Archaeological Institute of America.

2.  All officers shall be elected for three-year terms and may not serve consecutive terms in the same office.  The retiring President shall be an ex-officio member of the Executive Committee for one year after retirement.

3.  Any vacancy occurring in the offices of the Vice-Presidents or Secretary shall be filled by appointment of the Executive Committee.  If the office of the President becomes vacant, it is to be filled by the Second Vice-President; the Executive Committee shall them appoint an interim Second Vice-President.

C.  Elections

1.  The officers, other than the treasurer, shall be elected by a mail ballot.  The treasurer shall be appointed by the General Secretary, who may serve in that capacity (i.e., as General Secretary/Treasurer).

2.  Elections shall be determined by a simple majority of valid ballots cast.

3.  Newly elected officers shall assume office as of the July 1 following their election and shall serve for three three years.

Article V:  Standing Committee

A.  Executive Committee

The Executive Committee shall consist of the officers of the Society and each retiring President for one year after retirement.  It shall be the executive organ of the Society and shall approve the annual Treasurer's report.  The Executive Committee may appoint ad-hoc committees and additional officers as needed.  It shall meet once a year and more often as needed.  It shall serve as the Nominating Committee.  Three members shall constitute a quorum which may include ex-officio members.  As the Nominating Committee, the Executive Committee shall prepare the slate of nominees to be presented to the membership.  Consent of the nominees shall be required before the nominations may be published.

Article VII:  Relation with national Archaeological Institute of America

The Kentucky Society may take no action which is in conflict with the charter and bylaws of the Archaeological Institute of America.

Article VIII:  Amendments

This constitution shall be adopted and may be amended by mail-ballot.  Adoption and amendment shall be determined by a two-thirds majority of valid ballots.

Article IX:  Bylaws

Initial bylaws shall be adopted by mail-ballot.  Such adoption shall be determined by a two-thirds majority of valid ballots.  Bylaws may be amended by a two-thirds vote of the Executive Committee.

(Note:  There is no Article VI in the current Constitution.)

Bylaws

1.  Annual Schedule of the Society

a.  The Executive Committee shall meet in the fall to approve plans for the coming year.

b.  In election years, the nominations shall be prepared by January 31.

c.  Elections shall be held in February.

d.  The Annual Meeting shall coincide with the final lecture which normally takes place in March or April.

2.  Events

Normally, there shall be at least three events scheduled for Society members each year, with at least one to be held in Lexington and one in Louisville.  A schedule of these events shall be distributed to the membership.

3.  Archaeological Institute of America Delegates

Delegates to the Archaeological Institute of America Annual Meeting shall be determined by the Executive Committee.
